LifeVitae - Terms and Conditions of Use

Please read the following carefully as it governs your use of the Web pages hosted by LifeVitae Pte. Ltd. (collectively referred to as the “Site”). By accessing or using the Site, you expressly agree and consent to the following terms and conditions. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications (the “Services”). 1. SCOPE OF AGREEMENT

These Terms of Use (the “Terms”) are a binding contract between you and LifeVitae Pte. Ltd., (“LifeVitae” “we” and “us”). You must agree to and accept all of the Terms, or you don't have the right to use the Services. Your usage of the Services in any way means that you agree to all of these If you don't agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes. Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy and Copyright Dispute Policy.

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the LifeVitae website, by sending you an email, and/or by some other means.

2. YOUR REGISTRATION OBLIGATIONS

In consideration of your use of our Site, you represent that you are not a person barred from receiving services under the laws of the applicable jurisdiction. You also agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form. You acknowledge that you have no ownership rights in your account.

3. USE OF SITE CONTENT AND MATERIALS

LifeVitae Pte. Ltd. grants you a non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for personal, non-commercial purposes; (c) to share your results with friends, relatives and trusted advisors for the purpose of assisting you with your career planning or educating them about the availability of LifeVitae Pte. Ltd.; (d) to print out discrete information from the Site solely for personal, non-commercial purposes so long as you maintain all copyright and other policies contained therein. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Your license for access and use of the Site and any information, materials or documents therein (collectively defined as “Content and Materials”) are subject to the following restrictions and prohibitions on use: You may not (a) copy, print (except for the express limited purpose permitted), republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Site or any Content and Materials retrieved there from without LifeVitae Pte. Ltd.'s express written permission; (b) use the Site or any materials obtained from the Site to develop, or as a component of, any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism.

4. RIGHTS

The materials displayed or performed or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, User Submissions, and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won't use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates someone else's (including LifeVitae Pte. Ltd.'s) rights. You understand that LifeVitae Pte. Ltd. owns the Services. You won't modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Services. The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn't mean that all the restrictions above don't apply - they do!

5. SITE RULES

When you sign up for an account, you must provide your email address and select a password and username (“LifeVitae Pte. Ltd. User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your LifeVitae Pte. Ltd. User ID a name that you don't have the right to use, or another person's name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission. You represent and warrant that you are an individual who is at least 13 years old. You will only use the Services for your own internal, personal use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If your use of the Services is prohibited by applicable laws, then you aren't authorized to use the Services. We can't and won't be responsible for your using the Services in a way that breaks the law. You will not share your account or password with anyone, and you must protect the security of your account and your password. You're responsible for any activity associated with your account. Your use of the Services is subject to the following additional restrictions: You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Services or interact with the Services in a manner that:

Infringes or violates the intellectual property rights or any other rights of anyone else (including LifeVitae Pte. Ltd.); Violates any law or regulation, including any applicable export control laws;
Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable; Jeopardizes the security of your LifeVitae Pte. Ltd. account or anyone else's (such as allowing someone else to log in to the Services as you);
Attempts, in any manner, to obtain the password, account, or other security information from any other user; Violates the security of any computer network, or cracks any passwords or security encryption codes;
Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services' infrastructure);
“Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
Copies or stores any significant portion of the Content;
Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

In order to provide a welcoming and productive community on our Site and to improve the safety and security of our Site, we require that you adhere to the following rules:

(a) Do not give your user name or password to others. You are responsible for maintaining the confidentiality of your user name and password in order to protect your information. You are responsible for all uses of your registration, whether or not authorized by you. If others use your password to post inappropriate material on the Site, you risk losing your access to the Site. You agree to notify LifeVitae Pte. Ltd. immediately of any unauthorized use of your registration and password.
(b) Do not present LifeVitae Pte. Ltd. materials (or permit Content and Materials to be presented) so that it appears to be available from a third party Web site.
(c) Do not violate or attempt to violate the security of the Site.
(d) Do not access data not intended for your use.
(e) Do not log into a server or account which you are not authorized to use.
(f) Do not use the Site to advertise or offer to sell or buy any goods or services.
(g) Do not attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization.
(h) Do not attempt to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, “flooding”, “mail bombing” or “crashing”.
(i) Do not modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Site.
(j) Do not send spam or commercial emails of any kind and do not send any unsolicited e-mail to LifeVitae Pte. Ltd. Users.
(k) Do not forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
(l) Report inappropriate postings or conduct to LifeVitae Pte. Ltd.

Your violation of any of these Rules may result in civil or criminal liability. LifeVitae Pte. Ltd. may investigate occurrences relating to such violations and may involve and cooperate with law enforcement authorities in prosecuting Users involved in such violations. If LifeVitae Pte. Ltd. determines you misled LifeVitae Pte. Ltd. or violated these rules or the Terms of Use, we reserve the right to terminate this Agreement. LifeVitae Pte. Ltd. is under no obligation to monitor the conduct of its Users, but it may investigate and respond when violations are reported. It is your responsibility to ensure that your use of the Site complies with these Terms of Use and all applicable laws.

6. PAYMENT

Price and availability of any product or service offered through the Site are subject to change without notice. You agree to pay all charges that may be incurred by you or on your behalf through the Site, at the price(s) in effect when such charges are incurred.

In the event that there is a billing discrepancy, you must notify LifeVitae Pte. Ltd. within 7 days after the charge first appears on your credit card or bank or other account statement. If you do not notify LifeVitae Pte. Ltd. within 7 days, you agree that you waive your right to dispute such problems or discrepancies.

In the event we cannot charge your account, we reserve the right to terminate your access to our fee-based products.

We use a third-party payment processor (the “Payment Processor”) to bill you through a payment account linked to your account on the Services (your “Billing Account”) for use of the Paid Services. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processor in addition to these Terms. We are not responsible for error by the Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms, and you authorize us, through the Payment Processor, to charge your chosen payment provider (for example, a credit or debit card you provide) (your “Payment Method”). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment. Payment Method. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If we, through the Payment Processor, do not receive payment from you, you agree to pay all amounts due on your Billing Account upon demand.

Your non-termination or continued use of a Paid Service reaffirms that we are authorized to charge your Payment Method for that Paid Service. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Paid Service (or as your payment terms may be amended thereafter).

You must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify us or our Payment Processor if your Payment Method is canceled (e.g. for loss or theft) of if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your username or password. Changes to such information can be made in your account settings. If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of Paid Services under your billing account unless you have terminated your Paid Services as set forth above.

7. REFUND POLICY

LifeVitae Pte. Ltd. will not refund any purchases.

8. DISCOUNT CODE

If you use a discount code given to you, you agree to allow the company or individual who purchased the discount code view your name, username, and view the full results of your test. If you do not complete your test after you create a login using a discount code, you agree to allow the individual or company who purchased the discount code to delete your ability to login so they can reuse the access code.

9. GUARANTY OF RESULT

LifeVitae Pte. Ltd. makes no representations or guarantees regarding the effectiveness or timeliness of the Site in meeting the objectives of Users. LifeVitae Pte. Ltd. does not guarantee that using the Site or materials posted will result in employment and is not responsible for any employment decisions, for whatever reason made, made by any User or third party. The results of the tests should not be the final word on career direction. The tests should be used only as a tool to help gain insight. The accuracy of the tests depends on the User's understanding of self and ability to answer the questions honestly. The results may not accurately reflect truth or preferences. The tests should not be used as the sole basis for making important life decisions, career decisions, education choices, or life changes.

10. LIABILITY DISCLAIMER

You expressly understand and agree that LifeVitae Pte. Ltd. and its parent, subsidiaries, affiliates, officers, employees, agents, partners and licensors or anyone else who has been involved in the creation, production, or delivery of these pages shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if LifeVitae Pte. Ltd. has been advised of the possibility of such damages), resulting from: (I) the use or the inability to use the site; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the site; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the site; or (v) any other matter relating to the site.

LifeVitae Pte. Ltd. reserves the right at any time to modify or discontinue, temporarily or permanently, the site (or any part thereof) with or without notice. You agree that LifeVitae Pte. Ltd. shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the site.

Because user authentication over the internet is difficult, LifeVitae Pte. Ltd. cannot and does not confirm each user's identity. We are not involved in user-to-user dealings nor do we control the behavior of participants on any site. Therefore, in the event that you have a dispute with one or more users, you release LifeVitae Pte. Ltd. (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

11. PROPRIETARY RIGHTS

LifeVitae Express, provided by LifeVitae Pte. Ltd., is an in-house development. Our model is based on the a priori UN-WHO LifeSkills framework. LifeVitae Pte. Ltd. has the exclusive rights to LifeVitae Express.

The Site and all right, title and interest in and to the Site is the sole property of LifeVitae Pte. Ltd.. LifeVitae Pte. Ltd. reserves for itself all other rights, titles and interests. All related products and service names, design marks and slogans are also the service marks or trademarks of LifeVitae Pte. Ltd.. In addition, the “look” and “feel” of the Site (including color combinations, button shapes, layout, design and all other graphical elements) are protected by LifeVitae Pte. Ltd.'s trademarks, service marks and copyrights. All other product and service marks contained on the Site are the trademarks of their respective owners. You agree that the Site and any software used in connection with the Site contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further agree that content, including any tests and/or reports, contained in advertisements or information presented to you through the Site or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or authorized by Life Vitae or its advertisers (as applicable), you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

12. CEASING YOUR ACCOUNT

You're free to do that at any time, by deleting your account from your account settings or contacting us; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services. LifeVitae Pte. Ltd. is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. LifeVitae Pte. Ltd. has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms. Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone's safety or security, or otherwise harmful to the rights or property of LifeVitae Pte. Ltd. If you have deleted your account by mistake, you can create another one at any time by visiting our homepage. Or, you can contact us at info@mylifevitae.com - we will try to help, but unfortunately, we can't promise that we can recover or restore anything. Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership of intellectual property rights, and terms regarding disputes between us.

13. GENERAL TERMS

Entire Agreement. These Terms of Use constitute the entire agreement between you and LifeVitae Pte. Ltd. and govern your use of the Site, superseding any prior agreements between you and LifeVitae Pte. Ltd. with respect to the Site. You also may be subject to additional terms and conditions, e.g., our Privacy Policy, as set forth on our Site or when you use or purchase certain other Life Vitae services, affiliate services or third-party content or third-party services.
Indemnity. You agree to defend, indemnify, and hold harmless LifeVitae Pte. Ltd. (and its officers, directors, employees and agents) from and against any third party claims, actions or demands (including, without limitation, costs, damages and reasonable legal and accounting fees) alleging or resulting from or in connection with your use of the Site, documents posted by you on the Site or distributed by you through the Site or your breach of this Agreement. LifeVitae Pte. Ltd. shall use reasonable efforts to provide you prompt notice of any such claim, suit, or proceeding and may assist you, at your expense, in defending any such claim, suit or proceeding.
Waiver and Severability of Terms. The failure of LifeVitae Pte. Ltd. to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect.

Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Amendment. LifeVitae Pte. Ltd. reserves the right to update or amend these Terms of Use at any time without notice by posting Updated Terms of Use to this web page, so you should visit this page often.

Term and Termination. This Agreement is effective until terminated. LifeVitae Pte. Ltd., at its sole discretion, may terminate your access to or use of the Site, at any time and for any reason. Such termination, including deactivation or deletion of your password and user name, and all related information and files associated with it may happen without prior notice. LifeVitae Pte. Ltd. shall not be liable to you or any third party for any termination of your access to the Site or to any such information or files and shall not be required to make such information or files available to you after any termination.

Dengan memilih untuk menggunakan Layanan Berbayar, Anda setuju untuk membayar, melalui Pemroses Pembayaran, semua biaya dengan harga yang kemudian berlaku untuk setiap penggunaan Layanan Berbayar tersebut sesuai dengan ketentuan pembayaran yang berlaku, dan Anda mengizinkan kami, melalui Pemroses Pembayaran , untuk menagih Anda melalui penyedia pembayaran pilihan Anda (misalnya, kartu kredit atau debit yang Anda berikan) ("Metode Pembayaran" Anda). Anda setuju untuk melakukan pembayaran menggunakan Metode Pembayaran yang dipilih tersebut. Kami berhak untuk memperbaiki setiap kesalahan yang dilakukan oleh Pemroses Pembayaran meskipun telah meminta atau menerima pembayaran. Metode Pembayaran. Ketentuan pembayaran Anda akan didasarkan pada Metode Pembayaran Anda dan dapat ditentukan oleh perjanjian antara Anda dan lembaga keuangan, penerbit kartu kredit atau penyedia lain dari Metode Pembayaran yang Anda pilih. Layanan Berbayar yang tidak dihentikan atau terus digunakan oleh Anda menegaskan kembali bahwa kami berwenang untuk menagih Metode Pembayaran Anda untuk Layanan Berbayar tersebut. Kami dapat mengirimkan biaya tersebut untuk pembayaran dan Anda akan bertanggung jawab atas biaya tersebut. Ini tidak mengesampingkan hak kami untuk meminta pembayaran langsung dari Anda. Tagihan Anda mungkin harus dibayar di muka, di tunggakan, per penggunaan, atau seperti yang dijelaskan saat Anda pertama kali memilih untuk menggunakan Layanan Berbayar (atau karena ketentuan pembayaran Anda dapat diubah setelahnya).

Anda harus memberikan informasi terkini, lengkap, dan akurat untuk akun penagihan Anda. Anda harus segera memperbarui semua informasi agar akun penagihan Anda tetap yang terbaru, lengkap dan akurat (seperti perubahan alamat penagihan, nomor kartu kredit, atau tanggal kedaluwarsa kartu kredit), dan Anda harus segera memberi tahu kami atau Pemroses Pembayaran kami jika Metode Pembayaran Anda dibatalkan (misalnya untuk kehilangan atau pencurian) jika Anda mengetahui adanya potensi pelanggaran keamanan, seperti pengungkapan atau penggunaan nama pengguna atau kata sandi Anda yang tidak sah. Perubahan pada informasi tersebut dapat dilakukan di pengaturan akun Anda. Jika Anda gagal memberikan informasi di atas, Anda setuju bahwa kami dapat terus menagih Anda untuk setiap penggunaan Layanan Berbayar berdasarkan akun penagihan Anda kecuali Anda telah menghentikan Layanan Berbayar Anda sebagaimana disebutkan di atas.

7. KEBIJAKAN PENGEMBALIAN DANA

Life Vitae Pte. Ltd. tidak akan mengembalikan dana atas pembelian apa pun.

8. KODE DISKON

Jika Anda menggunakan kode diskon yang diberikan kepada Anda, Anda setuju untuk mengizinkan perusahaan atau individu yang membeli kode diskon untuk melihat nama, nama pengguna, dan melihat hasil lengkap dari tes Anda. Statuta Pembatasan. Anda setuju bahwa terlepas dari undang-undang atau undang-undang yang bertentangan, setiap klaim atau penyebab tindakan yang muncul dari atau terkait dengan penggunaan Situs atau Ketentuan Penggunaan harus diajukan dalam waktu satu (1) tahun setelah klaim atau penyebab tindakan tersebut muncul atau selamanya akan dilarang.

Amandemen. Life Vitae Pte. Ltd. berhak memperbarui atau mengubah Ketentuan Penggunaan ini kapan saja tanpa pemberitahuan dengan mengunggah Ketentuan Penggunaan yang Diperbarui ke halaman web ini, sehingga Anda harus sering mengunjungi halaman ini.

Jangka Waktu dan Pemutusan. Perjanjian ini berlaku sampai nantinya diakhiri. Life Vitae Pte.
